Terms of use

These Terms of Service (“Terms”) are a legally binding agreement between you and Say Adios LLC, doing business as Zozy (“Zozy,” “we,” “us,” “our”), governing your access to and use of our website(s), mobile applications (iOS/Android), and related services that reference these Terms (collectively, the “Services”).

By accessing or using the Services, you agree to these Terms and to our Privacy Policy (incorporated by reference). If you do not agree, do not use the Services.

1) What Zozy Does

Zozy provides tools to help you document, organize, and manage a personal inventory of your belongings, including photos, item details, and valuation-related estimates. Zozy may also provide features that help you export or package your inventory for purposes such as insurance documentation or resale preparation at your direction.

Zozy is not an insurance company, broker, adjuster, appraiser, or legal service provider.

2) Eligibility

You must be at least 13 years old to use the Services. If you are under 18 (or the age of majority where you live), you may use the Services only with the consent and involvement of a parent or legal guardian who agrees to these Terms.

3) Changes to the services and these terms

We may modify the Services or these Terms at any time. Changes are effective when posted (with the updated date above). Your continued use after changes means you accept the revised Terms.

4) Your account and security

To use certain features of the Services, you may need to create an account. When you do, you agree to:

— provide accurate information and keep it current — maintain the security of your login credentials (including any third-party sign-in methods you use, such as Sign in with Apple or Google) — notify us promptly at support@zozy.app if you suspect unauthorized access to your account — take responsibility for activity that occurs under your account

You are responsible for any activity that occurs through your account, including activity by others you allow to access it. We are not liable for losses caused by unauthorized access resulting from your failure to safeguard your credentials.

We may require you to verify your identity or take additional security steps at any time. We may suspend or terminate accounts that we believe have been compromised, used in violation of these Terms, or used in a way that poses risk to Zozy, other users, or third parties.

You may not share your account, transfer it to another person, or create an account on behalf of someone else without their authorization. You must be eligible to use the Services under Section 2.

5) Your content (inventory data)

A. Your Content

“Content” means the information you upload or enter into Zozy, including item photos, receipts, warranty documents, serial numbers, item notes, and any other inventory-related data.

You retain ownership of your Content.

B. License to Operate the Service

To operate the Services, you grant Zozy a limited, non-exclusive, worldwide license to host, store, process, reproduce, and display your Content solely to provide and improve the Services, consistent with our Privacy Policy.

C. Your Responsibilities

You represent that you own or have rights to upload your Content and that it does not violate law or third-party rights. You agree not to upload:

  • illegal content

  • malware or harmful code

  • content that violates others’ privacy or IP rights

  • highly sensitive data you do not need for inventory purposes (e.g., account credentials, full payment card numbers)

6) Storage, Syncing, and Availability

A. Where your data is stored

Zozy is a cloud-backed service. Your Content may be stored and processed on Zozy’s systems and with cloud infrastructure providers we use to operate the Services (collectively, “Zozy Infrastructure”). Your Content may also be stored on your device (e.g., cached copies) depending on your device settings and app functionality.

B. Syncing across devices

If you log into Zozy on multiple devices, the Services may sync your Content across those devices.

C. Storage limits

We may impose reasonable limits on storage, file size, usage, or exports depending on your plan. We may change these limits over time.

D. Backups

While we take reasonable measures to safeguard Content, you are responsible for maintaining backups of important information you store in Zozy (for example, saving copies of key photos or claim exports). No service is immune from outages or data loss.

E. Service continuity

We do not guarantee uninterrupted availability, uptime, or error-free operation.

7) Valuations, Estimates, and Disclaimers

Zozy may provide valuation-related outputs (e.g., estimated fair market value ranges, replacement-style estimates, comps, or summaries). These are estimates for informational purposes and may be inaccurate, incomplete, or outdated.

  • Zozy does not guarantee that any estimate will be accepted by an insurer, resale platform, buyer, appraiser, or any third party.

  • Zozy is not responsible for claim outcomes, reimbursement amounts, depreciation schedules, coverage determinations, or disputes.

  • You are responsible for verifying values and deciding what to submit externally.

8) Exports, Insurance, and Resale Features

A. Insurance-related exports

If you choose to generate an insurance packet or export inventory details, you authorize Zozy to compile and format your Content into an export. Any submission to an insurer (or communications with an insurer) is your responsibility unless we explicitly offer and you enable a feature that sends information on your behalf.

B. Resale-related exports

If you choose to prepare information for resale or liquidation, Zozy may help you format or export data for third-party platforms. Zozy does not guarantee listings, pricing, sales, or platform acceptance. Any third-party platform use is governed by that platform’s terms.

C. Third-party services

Your use of third-party services (including insurance carriers, marketplaces, storage providers, or payment processors) is governed by their terms and policies. Zozy is not responsible for third-party services.

9) Subscriptions, Billing, and App Store Terms

Zozy may offer free and paid plans. Zozy currently offers an annual subscription priced at $39.99 per year. Pricing may vary by region and is subject to change.

  • Payment and Billing: Payment will be charged to your Apple ID account at the time of purchase. Subscriptions automatically renew unless canceled at least 24 hours before the end of the current billing period.

  • Auto-Renewal: Your subscription will automatically renew under the same terms, and your account will be charged within 24 hours prior to the end of the current period for the renewal at the then-current price.

  • Managing and Canceling Subscriptions: You can manage or cancel your subscription at any time through your Apple ID account settings. Cancellation will take effect at the end of the current billing period. You will continue to have access to the subscription features until that time.

  • Free Trials and Promotions: If Zozy offers a free trial or promotional period, any unused portion of the trial will be forfeited when you purchase a subscription, where applicable. At the end of any trial period, your subscription will automatically convert to a paid subscription unless canceled in accordance with the terms above.

  • Price Changes: Zozy reserves the right to change subscription pricing at any time. Any price changes will be communicated to you in advance and will take effect at the start of the next billing period. Continued use of the subscription after the price change constitutes your acceptance of the new price.

  • Refunds: All purchases and subscriptions made through the Apple App Store are subject to Apple’s payment and refund policies. Zozy does not issue refunds directly. To request a refund, please contact Apple Support.

  • Access and Termination: Zozy reserves the right to suspend or terminate access to subscription features if you violate these Terms. Upon cancellation or termination, your access to paid features will end at the conclusion of your current billing period.

10) Acceptable Use

You agree not to:

  • use the Services unlawfully

  • attempt to access accounts or data not yours

  • scrape, reverse engineer, or exploit the Services except as permitted by law

  • interfere with security, authentication, or rate limits

  • use the Services to build a competing product using non-public aspects of the Services

  • We may suspend or terminate access for violations.

11) Intellectual Property

Zozy and its licensors own the Services, including software, design, branding, and all non-user content. Except for the limited right to use the Services under these Terms, no rights are granted to you.

12) Feedback

If you provide feedback, suggestions, or ideas, you grant Zozy the right to use them without restriction or compensation.

13) Suspension and Termination

We may suspend or terminate your access at any time for security, abuse prevention, legal compliance, or Terms violations.

If you delete your account, we will handle your Content consistent with our Privacy Policy and retention practices (including possible backup retention for limited periods).

14) Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT VALUATIONS, EXPORTS, OR CONTENT STORAGE WILL BE ERROR-FREE OR THAT THIRD PARTIES WILL ACCEPT OR RELY ON OUTPUTS.

15) Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ZOZY WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR CLAIM OUTCOMES.

TO THE EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID TO ZOZY FOR THE SERVICES IN THE SIX (6) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM (OR $100 IF YOU PAID NOTHING).

Some jurisdictions do not allow certain limitations; in such cases, limits apply to the maximum extent permitted.

16) Indemnification

You agree to defend, indemnify, and hold harmless Zozy and its affiliates, officers, employees, and agents from claims arising out of:

  • your use of the Services

  • your Content

  • your breach of these Terms

  • your violation of law or third-party rights

17) Governing Law; Venue

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws rules. Except where prohibited, exclusive venue for any permitted court action is state or federal courts located in Travis County, Texas.

18) International Use

If you access the Services from outside the United States, you understand your information may be transferred to and processed in the United States and other countries where our service providers operate.
